Please read these Terms of Service ("Terms") carefully before using ProAngler. By accessing or using any part of the ProAngler platform, you agree to be bound by these Terms. If you do not agree, you may not use the service.
1. Acceptance of Terms
By creating an account or otherwise using ProAngler (the "Service"), you agree to these Terms and our Privacy Policy and Cookie Policy. These Terms form a legally binding agreement between you and ProAngler ("we," "us," or "our").
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We will notify you of material changes via email or an in-app notice.
2. Eligibility
You must be at least 13 years of age to use the Service. By using ProAngler, you represent that you meet this requirement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and complete registration information.
- Keep your password confidential.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Content You Post
4.1 Your Responsibility
You are solely responsible for any content you submit, post, display, or transmit through the Service ("User Content"). You represent and warrant that:
- You own or have the necessary rights to post your User Content.
- Your User Content does not infringe any third-party intellectual property rights, privacy rights, or applicable law.
- Your User Content does not contain content that is illegal, defamatory, obscene, harmful to minors, or otherwise objectionable.
4.2 Content License
By posting User Content on ProAngler, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content in any and all media or distribution methods now known or later developed.
This license includes the right to use your User Content for the operation, promotion, and improvement of the Service, including for machine learning and artificial intelligence model training and development.
This license does not transfer ownership of your content. You retain all ownership rights in your User Content.
4.3 Content Removal
We do not guarantee that User Content will be stored indefinitely. We reserve the right to remove or disable access to User Content at any time, for any reason, without notice.
5. Prohibited Conduct
You agree not to:
- Post content that is unlawful, abusive, threatening, harassing, defamatory, or invasive of another's privacy.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Engage in spam, phishing, or any form of unsolicited commercial communication.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Use the Service to distribute malware, viruses, or any malicious code.
- Scrape, crawl, or systematically extract data from the Service without our express written consent.
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
6. Intellectual Property
6.1 ProAngler IP
The Service and its original content, features, and functionality - including but not limited to the ProAngler name, logo, trademarks, trade dress, and domain names - are and will remain the exclusive property of ProAngler. You may not use the ProAngler name, any associated trademarks, logos, or domain names without our express written consent.
6.2 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us the right to use that feedback without restriction or compensation to you.
7. Third-Party Links and Services
The Service may contain links to third-party websites or services. We do not control, and are not responsible for, the content or practices of any third-party sites. Your interactions with third parties are solely between you and that third party.
8. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from use of the Service will be accurate or reliable.
- Any errors in the Service will be corrected.
Your use of the Service is at your sole risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROANGLER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF - OR INABILITY TO USE - THE SERVICE.
IN NO EVENT SHALL PROANGLER'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF:
- $100 USD, or
- The total amount you paid to ProAngler in the six (6) months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the theory of liability and even if ProAngler has been advised of the possibility of such damages.
10. Enforcement and Account Termination
ProAngler reserves the right, in its sole discretion, to:
- Suspend or permanently terminate your account.
- Remove or limit the visibility of any User Content.
- Restrict your access to any features of the Service.
Reasons for enforcement action include, but are not limited to, violations of these Terms, harassment of other users, engagement in illegal activities, or conduct that ProAngler determines to be harmful to the Service or its community.
You may terminate your account at any time through your account settings. Termination does not affect any rights or obligations that arose prior to termination.
11. Indemnification
You agree to defend, indemnify, and hold harmless ProAngler and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your User Content.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
13. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ProAngler regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
